Terms of service

These Terms of Service (“Terms”) govern the use of the PassEntry platform (“Service”) by customers (“Customer,” “You”). By signing up for, accessing, or using PassEntry, you agree to be bound by these Terms.

1. Data Rights and Portability

1.1 Ownership of Customer Data
All data uploaded, created, or generated by you through the Service (“Customer Data”) remains your property. PassEntry does not claim ownership rights over Customer Data.

1.2 Export and Portability
Customers may export their data at any time through the provided tools or upon request. Export formats will be industry-standard (e.g., CSV, JSON) where feasible.

1.3 Data Retention After Termination

  • Upon account cancellation, Customer Data will remain available for export for 30 days.

  • After 30 days, PassEntry will permanently delete Customer Data from active systems and backups, except where retention is legally required.

1.4 Backups and Recovery
PassEntry maintains regular encrypted backups to enable disaster recovery. Backups are retained for 30 days and may be used solely for recovery purposes in the event of system failure.

1.5 Data Processing Location All Customer Data is processed and stored primarily in London, United Kingdom, unless otherwise required by law.

2. Payment and Billing

2.1 Billing and Auto-Renewal
Subscriptions are billed in advance on a recurring monthly or annual basis. Unless cancelled, your subscription will automatically renew. We will provide clear notice of renewal and any material changes at least 30 days in advance.

2.2 Payment Methods and Currency
We accept major credit/debit cards and other methods supported by Stripe. All fees are charged in GBP (£) unless otherwise stated.

2.3 Proration
Upgrades, downgrades, or mid-cycle changes are prorated automatically by Stripe.

2.4 Refunds
Subscription fees are non-refundable, except where required by law.

2.5 Late Payments and Suspension
Failure to pay fees when due may result in suspension of Service. PassEntry may suspend accounts after consistent non-payment until outstanding amounts are settled.

2.6 Taxes and VAT
All fees are exclusive of applicable taxes. Customers are responsible for all taxes, levies, and VAT associated with their use of the Service.

2.7 Price Changes We may adjust subscription pricing by giving at least 30–60 days’ advance notice. Continued use of the Service after notice constitutes acceptance of the new pricing.

3. Service Level Commitments

3.1 Uptime Guarantee
PassEntry aims to provide 99.9% uptime for base subscription plans, measured monthly.

3.2 Maintenance and Planned Downtime
We may schedule planned maintenance windows with at least 48 hours’ prior notice. Urgent or emergency maintenance may occur without notice where required to protect system integrity.

3.3 Performance Standards The Service is monitored for performance and reliability. If we fail to meet stated commitments, remedies may include service credits applied to your account.

4. Subscription-Specific Usage Terms

4.1 Account Limits
Each subscription tier includes limits on user accounts as described at signup.

4.2 Usage Quotas and Overage
Certain subscription tiers may include usage quotas (e.g., number of passes issued, API calls). Exceeding quotas may incur additional fees, billed at the then-current rates.

4.3 Prohibited Use Cases

4.3.1 Staged Wallet Prohibition 
PassEntry cannot function as a staged wallet, meaning it cannot obscure purchase transactions by linking payments through an intermediary funding source.

4.3.2 Data Encryption Requirement 
Provider is prohibited from transmitting unencrypted personal data in connection with the PassEntry Solution.

4.3.3 Indemnification for Unauthorised Transactions 
PassEntry is not liable for any unauthorised transactions made using NFC Passes, and the client assumes full responsibility for preventing unauthorised use.

4.3.4 Rotating Barcodes 
Passes are limited to rotate barcodes no more than once every 24 hours.

5. Termination and Cancellation

5.1 Customer Cancellation
You may cancel your subscription at any time by written notice to support@passentry.com. To avoid charges for the next billing period, cancellations must be received at least three business days before the end of your current billing period. Cancellations received after this deadline will take effect at the end of the following billing period.

5.2 Account Suspension for Non-Payment
Non-payment may result in account suspension until outstanding balances are resolved.

5.3 Data Deletion
All Customer Data will be permanently deleted 30 days after termination, except as legally required.

5.4 Immediate Termination for Breach PassEntry reserves the right to terminate accounts immediately in cases of material breach of these Terms.

6. Additional Protections

6.1 Service Credits
If PassEntry fails to meet its uptime commitments, customers may be eligible for service credits as the sole and exclusive remedy.

7. General Provisions

  • These Terms constitute the entire agreement between you and PassEntry.

  • If any provision is found invalid, the remaining provisions will remain enforceable.

  • These Terms are governed by the laws of England and Wales.
